Minute Order. Hearing on the "Motion to Dismiss Chapter 11 Bankruptcy Case" (Docket No. 40, the "Motion to Dismiss") filed by 42400 Highway 82 Acquisition LLC and 42400 Highway 82 Sub Debt LLC (the "Secured Creditors") and the "Debtors (I) Objection to Motion to Dismiss Chapter 11 Bankruptcy Case, and (II) Request for an Evidentiary Hearing" (Docket No. 49, the "Objection") filed by the Debtor. Orders: The Court admitted into evidence Secured Creditors Exhibits 1-17. For the reasons stated of record, the Court permitted the Debtor's counsel to present the proffer of the direct testimony of Paula T. Douglass and S. Preston Douglass. For the reasons stated of record, the Court determined that the only disputes identified by the Debtor were legal and concluded that there were no material facts in dispute requiring thepresentation of evidence at a final hearing. The Court found that it could rule based upon the record presented through the proffers. The Court took the matter under advisement and will endeavor to rule within the time frame set by 11 U.S.C. § 1112(b)(3), unless the Court finds that compelling circumstances existwhich prevent the Court from doing so. The Court will issue either a written or an oral ruling on the Motion to Dismiss. If the Court decides to issue an oral ruling, the parties will be provided notice of the time for such oral ruling and be permitted to appear by telephone or in person.
