Commercial Properties and Related Assets for Auction in Wyoming

Auction Sale of all, substantially all, or any combination of the assets pertaining to the real property located in Wyoming (collectively the “Wyoming Real Property Assets”) owned by Big Horn Coal Company, KCP Properties, Inc., and Rosebud Coal Company (collectively the “Wyoming Sellers”). The sale assets include all right, title and interest in and to real property owned by each Wyoming seller, together with all right, title, and interest of each Wyoming seller in and to all buildings, structures, fixtures, systems, facilities, easements, rights-of-way, privileges, improvements, personal property and equipment, licenses, hereditaments, appurtenances, any water and water rights, strips and gores, leases, contract, all permits (including mining or environmental permits) held by any of the Wyoming sellers that primarily relate to assets being acquired, to the extent assignable; and all other rights and benefits appurtenant to or located on the Property (collectively, the “Wyoming Real Property Assets”), and more described as below:

• Big Horn owns approximately 2,861 surface acres in the northern Powder River Basin in Sheridan County, Wyoming;
• KCP owns approximately 3,500 surface acres of real property north of Sheridan, Wyoming, [directly adjacent to the Big Horn Property]; and
• Rosebud owns approximately 220 surface acres of real property located in Carbon County, Wyoming near Elmo, Wyoming.
