Stocks and Claims for Sale

Sale of stocks and claims, and more described as follows:

• Any and all stock interest of the Estate of Louis O'Neil Suard, Jr. in ACR Houma, believed to be a 25.5% interest of the whole and 36,333 shares of stock ("Suard's ACR Houma Stock");
• Any and all stock interest of the Estate of Louis O'Neil Suard, Jr. in America's Cajun Restaurant of Lafayette, Inc. ("ACR Lafayette"), believed to be a 25% interest of the whole and 6,000 shares of stock ("Suard's ACR Lafayette Stock");
• Any and all claims, past, present and future, of the Estate of Louis O'Neil Suard, Jr. against ACR Houma and/or ACR Lafayette and/or Copeland's of New Orleans, L.L.C., and/or against their stockholders, officers, directors, employees, agents, franchisors, insurers, in any manner arising from and/or related to and/or incidental to Louis O'Neil Suard, Jr. being a stockholder, officer, director, employee, agent and/or debtor of ACR Houma and/or of ACR Lafayette, including but not limited to an alleged claim against ACR Houma and ACR Lafayette disclosed in Louis O'Neil Suard, Jr.'s Official Form 106 A/B schedules filed in the Bankruptcy Case, ("Claims"), and any of the aforestated Claims not fully released in accordance with this Purchase Agreement ("Assigned Claims").
