Ownership Interest in Multiple Companies

Sale of interest of seller in multiple companies which includes 3626 Sunset, LLC, a California limited liability company (“3626 Sunset”), Vintage Event Design, LLC, a California limited liability company (“Vintage”), and Cliff’s, LLC, a California limited liability company. Assets for sale:

1. That real property located at 3626-3640 W. Sunset Boulevard, in the City of Los Angeles, California (the “Sunset Property”);
2. That real property located at 1440-1444 N. Edgecliffe Drive, in the City of Los Angeles, California (the “Edgecliffe Property”, and sometimes collectively with the Sunset Property, the “Real Property”).
3. Certain restaurant equipment, fixtures and other personal property attendant to the restaurant operations (hereinafter the “Cliff’s Personal Property” or “Cliff’s Assets”) located at the Sunset Property, pursuant to a written lease dated April 1, 2017 (the “Cliff’s Lease”) between Cliff’s as tenant, and 3626 Sunset, as lessor.
4. The Liquor License, which will be subject to a separate asset purchase agreement and escrow, as required by law.
