Oil, Gas and Mineral Leases in Louisiana

Sale of Interest of Knight Resources, LLC in the Clovelly Field lease and wells, described as below:

Working interest in the Allain LeBreton Well No. 1 through a joint venture with Texas Petroleum Investment Company (“TPIC”), or an interest in a mineral lease originally by and between Allain- LeBreton Company as lessor and ORX Resources as lessee recorded in the conveyance records of Lafourche Parish at Book 1536, Page 343, Entry No. 939496 (the “Clovelly Field”).

Oil, Gas and Mineral leases described on "Exhibit A, Page 18" on the attached PDF, together with (i) all of Assignor's other right, title and interest, if any, in and to the Leases, (ii) all of Assignor's right, title and interest in and to all working interests, net profits interests, reversionary interests, royalty interests, overriding royalty interests and other similar interests in the lands described in the Leases or lands pooled or unitized therewith, and (iii) all of Assignor's right, title and interest in and to any lands pooled or unitized with the lands described in the Leases, including rights to production from such pooled or unitized lands (collectively, the "subject Interests"); (iv) all of Assignor's interest in any well located within the boundaries of the Leases, together with any interest in the equipment, facilities, or fixtures ("Wells").
