Oil and Gas Wells in Texas

Sale of the sellers, HBC, and the other non-debtor co-owners of interests in the Wells, have agreed to sell their respective ownership interests in the Wells such that 100% of the working interests in the Wells. The sellers collectively owns the following underground disposal well(s) (together with any and all surface facilities, underground facilities and appurtenances associated therewith):

• That certain underground disposal well identified as the Cheapside Well, API No. 42- 177-32664, UIC No. 000104786, located in Gonzalez County, Texas (the “Cheapside Well”);
• That certain underground disposal well identified as the Fashing Well, API No. 42-013-34778, UIC No. 000105713, located in Atascosa County, Texas (the “Fashing Well”); and
• That certain underground disposal well identified as the Fowlerton Well, API No. 42-283-34233, UIC No. 000105066, located in LaSalle County, Texas (the “Fowlerton Well”; together with the Cheapside Well and the Fashing Well, collectively the “SWD Wells” and each, individually, an “SWD Well”), in each case, together with the salt water disposal permits from the Railroad Commission of Texas (the “RRC”) associated therewith (such permits, SWD Wells and appurtenant facilities, collectively and as more particularly described in Section 1.01 on the attached PDF, the “SWD Assets”).
