Inventory and Intellectual Property for Sale

Sale of inventory and intellectual property of Talaria Flats LLC (the “Seller”), which includes: (a) inventory consisting of 7,170 units of flats plus of 1,900 “Thank You” cards; (b) the TALARIA FLATS trademark and the goodwill of the business symbolized thereby, including U.S. Trademark Registration 4725045, and the common law rights pertaining thereto; (c) the tradename of the seller; (d) the login access rights related to the Shopify.com website, the GoDaddy domain account, the Google account, the Amazon account and any and all social media accounts; and (e) the goodwill of the business related to the aforesaid intellectual property assets, all artwork, labels and package designs related to the aforesaid intellectual property assets to the extent they exist, all past, present and future claims, demands and causes of action based upon the aforesaid intellectual property assets, and all rights, consents and permissions of use or licenses related to the aforesaid intellectual property assets to the extent they exist (collectively, the “Assets”).
