Intellectual Property of Restaurants Business

Sale of intellectual property of Garden Fresh Restaurants LLC (the “Seller”), which includes:

• Trademarks, together with all agreements with third parties and goodwill associated therewith;
• Common law copyrights;
• Domain names, together with all of the goodwill associated therewith; Social media accounts (to the extent transferrable by the social media Provider);
• The certain Brand and Product License Agreement, dated April 30, 2013, with Gold Coast Packing, Inc., as licensee, as amended (the “Gold Coast Agreement”) and all proceeds arising in connection thereto from and after Closing;
• Trade secrets, including without limitation, recipes, marketing materials, and customer lists; and
• Any and all income, royalties, damages and payments now or hereafter due and/or payable with respect to the Assets.
