Intellectual Property of Food and Drinks Company

Sale of intellectual property and related assets of Piadina Inc ("Seller"), which includes:

• All intellectual property and related assets regarding certain food items created by or for the Debtor, namely flatbreads, crisps and flatbread crisps, and the advertising, marketing and promotional materials and product packaging therefor (collectively, “Flatbread Products”) under the name Primizie or any other name, mark or logo (collectively, the “Mark”), such intellectual property including without limitation, any and all trademarks, logos, names and trade dress (whether registered in the United States, or any state or country, or not), copyrights (whether registered or not), patents and patent applications, inventions (whether patentable or not), confidential information, trade secrets, formulas, recipes, manufacturing process, packaging or palletizing processes, specifications, know how, show how, artwork, labels, designs, images, copy, text, customer lists, domain names, social media accounts, and software and graphics programs and files; and
• An assignment of the federal registration for PRIMIZIE (4273069); and that certain Fiesta Tortilla’s, Inc./Piadina, Inc. Production Agreement, made and entered into as of August 1, 2016, by and between FIESTA Tortilla’s, Inc. and Piadina, Inc.
