Financial Assets of Film Distribution Company

Sale of assets of Open Road Films, LLC, including all rights, title, and interest in and to that certain Untitled Holiday Project (“Project”). The Project is composed of the option rights, pursuant to that certain Option/Quitclaim Agreement, dated as of February 20, 2018 (the “Option Agreement”), between New Regency Productions, Inc. (“New Regency”) and OR Productions LLC, as assignee of Anthem Productions, LLC, to develop a film based on the novel entitled Santa Clause Is for Real: A True Christmas Fable About the Magic of Believing (the “Book”), written by Charles Edward Hall and Bret Witter (the “Authors”) and certain literary material based thereon, written by Larry Stuckey. The sellers are party to certain contracts related to the Project, as more specifically described in Exhibit 1 on the attached PDF.
