Entity Interests in Two Companies

Sale of entity interests in two companies, described as below:

100% interest in Capital Enterprise Services, LLC (the “CES Interest”) and Seller's 100% interest in Elite Enterprise Capital, LLC (the “EEC Interest” and, collectively with the CES Interest, the “Entity Interests”). The CES Interest is described as Seller's one-hundred percent (100%) interest in Capital Enterprise Services, LLC dba Bankrupt Debt Acquisitions (“CES”). Upon information and belief, CES provides (or provided) management services to Erios, LLC and Porania, LLC dba Bankrupt Debt Acquisitions, which are (or were) engaged in the business of buying/selling and brokering debt, including claims in chapter 13 bankruptcy cases throughout the country. The EEC Interest is described as Seller's one-hundred percent (100%) interest in Elite Enterprise Capital, LLC (“EEC”). Upon information and belief, EEC is engaged in the business of buying/selling and brokering debt, including claims in chapter 13 bankruptcy cases throughout the country.
