Description
Sale of all of the bankruptcy estate's right, title and interest in and to the Cardinal Claims and the Siemens Lawsiut, and more described as follows:
- As part of seller's operations, Seller conducted business with Cardinal Health (“Cardinal”). Cardinal sold medicine and provided pharmacy services to seller. There were disputes in connection with the pricing and terms agreed upon with Cardinal. Seller filed Schedule A/B [ECF No. 27] on February 14, 2019, which listed potential claims against Cardinal Health Inc. based on fraud, negligence and other state law causes of action (the “Cardinal Claims”); and
- On August 11, 2019, Trustee filed the adversary proceeding styled Catherine S. Curtis, as Chapter 7 Trustee of the Bankruptcy Estate of Bay Area Regional Medical Center, LLC, v. Cerner Corporation; Quammen Health Care Consultants, Inc., Siemens Medical Solutions USA, Inc., Adv. Proc. No. 19-07010 (the “Siemens Lawsuit”), in the United States Bankruptcy Court for the Southern District of Texas, McAllen Division. Within the Siemens Lawsuit, Trustee brought forth claims for breach of contract, breach of express warranties, breach of implied warranties, negligence, fraud, fraudulent inducement, negligent misrepresentation, negligent hiring, unjust enrichment, avoidance of fraudulent transfer, and recovery of fraudulent transfers.
