Assets of Outboard Motors Manufacturer Business

Sale of assets of Outboard Marine Corporation, which consists of Capital Credits, the OMC Germany Equity and the Remnant Assets, and more described as below:

• Capital Credits for $206,000: French Broad Electric Membership Corporation (“French Broad EMC”) identifies OMC as member number 86653, and the Estate owns capital credits in the amount of $551,699.02 on account of such membership (the “French Broad Capital Credits”). OMC Aluminum Boat Group is a member of the Laclede Electric Cooperative (“Laclede EC”), and the Estate owns related capital credits in the amount of $39,146.14, which Laclede EC identifies by capital credit number 15625 (the “Laclede Capital Credits” and, together with the French Broad Capital Credits, the “Capital Credits”);
• OMC Germany $30,000: The estate owns 100% of OMC Outboard Marine Deutschland G.M.B.H. and Outboard Marine GmbH (collectively, “OMC Germany”); and
• Remnant Assets for $10,000: Consisting of known or unknown assets or claims, which have not been previously sold, assigned, or transferred (collectively, “Remnant Assets”).
