Sale of all assets of the Kenmark Inc (Seller's) estate, including the claims and causes of action asserted in the Lawsuit and machinery, fixtures and equipment consisting of shelves, pallet jacks, desks, computers, fork lift. The sale assets claims and causes of action asserted in the Lawsuit, are more described as below:

On January 45 2017, the Debtor and others commenced a lawsuit styled Kenmark, Inc. and Kenmark Architectural Products, Inc., Kenmark Wallcoverings, Inc., and Lamana Tramonte v. Franklin Kisberg, and Pamela Kisberg, and Decorative Ventures, LLC Cause No. DC-17-00061 in the 160th Judicial District Court of Dallas County, Texas (the "Lawsuit"). The plaintiffs in the Lawsuit (the "Plaintiffs") assert causes of action for breach of contract (shareholder agreement), theft of corporate assets, fraud, breach of fiduciary duty, and conspiracy to defraud. Counterclaims were filed by Decorative Ventures, LLC ("Decorative Ventures") against Lamana Tramonte ("Tramonte"), and third-party claims were filed in the Lawsuit by Decorative Ventures against Tramlyn Enterprises, LLC.
