Sale of commencing going out of business sales (collectively, the “Store Closing Sale”) of Gymboree Group, Inc., company are specialty retailers, operating stores selling high-quality clothing and accessories for children. The company's family of brands consists of Gymboree®, Janie and Jack®, and Crazy 8®.
The Store Closing Assets including:
- All of the merchandise (which includes, among other things, new, finished, first-quality saleable goods in the ordinary course of Merchant’s business as of the commencement of the Sale (“Merchandise”)) located (i) at the stores operated by Merchant in the United States and Canada (and set forth on an exhibit to the Agency Agreement) (collectively, the “Stores”) and (ii) on Merchant’s e-commerce site and related sales platform in each case, (other than with respect to the Janie and Jack® Merchandise and Stores), by means of a “store closing”, “sale on everything”, “everything must go”, “going out of business” or similar-themed sale; and
- Disposing of the personal property or improvements to real property, including furniture, furnishings, and equipment that are owned by Merchant and located at the Stores.
