Sale of substantially all of the assets of the Shelter Island Opportunity Fund, LLC, consist primarily of equity interests in other entities, notes receivable, and rights to payment under certain judgments and/or other transactions, and more described as below:

• AXM Pharma Inc. stock and/or warrants;
• Intellect Neurosciences, Inc. stock;
• Medical Alarm Holdings stock/equity;
• Technipower/Unipower stock/equity;
• Notes receivable due and owing to seller from: (a) AXM Pharma lnc.; (b) Brighus; (c) China Stem Cells; (d) Green Planet Group, Inc.; and (e) Medical Alarm Group, Inc;
• Outstanding judgments ancl/ov agreed upon settlement amounts due and owing to seller from: (a) InRob Technologies; (b) James Ylng Shih Chow, M.D.; (c) James Tachibana, DPM; (d) Cornerstone Medical Group, Inc.; (e) CMG Management Group, Inc.; (f) International Healthcare Alliance, LLC; (g) Nippon Clinic and Noguchi Ningon Dock, LLC a/k/a Nippon Clinic, In Noguchi Ningedock, LLC; (h) NIM Management Corporation; (i) EMTA Production Holdings, Inc.; and (j) Green Planet Group, Inc;
• Contingent sale payment due and owing to seller regarding Vantage Force.
