Sale of Stock of 4 West Investors, LLC, a Delaware limited liability company (“Parent”). Parent owns all of the issued and outstanding shares of stock (the “Shares”), of the 4 West Holdings, Inc (the “Company”). 4 West Holdings, Inc., a Delaware corporation (the “Company”) owns, directly or indirectly, all of the membership interests and/or issued and outstanding shares of stock in the Company Subsidiaries (Company Subsidiaries are particularly described in Exhibit A on the attached PDF) (the “Subsidiary Equity Interests”). The Company Subsidiaries own the Restructuring Portfolio and the Restructuring Portfolio Real Property (Portfolio are particularly described in Exhibit D and Exhibit E on the attached PDF).
