Printing Business and Related Assets in Texas

Sale of Assets of A.J. Bart Inc., which includes:

• All machinery, equipment, tools, tooling, dies, furniture, fixtures and furnishings and other tangible personal property of Bart wherever located, including the items set forth on Schedule 2.1(a) (collectively, the “Personal Property”);
• All books and records relating to the operation of the Business, including marketing materials, customer lists, and vendor lists and all financial and project-related records, in each case, in whatever format held, including equipment records, project plans, documents, catalogs, books, records, files and operating manuals;
• To the extent transferable, all Permits and other approvals (including pending approvals) of Governmental Authorities relating to the Business or the Purchased\ Assets, including the Permits described on Schedule 2.1(c);
• To the extent not previously transferred to Buyer by Bankruptcy Court Order dated April 24, 2018, all interests of Bart in and to all Intellectual Properties and all computer software, programs, servers, hardware and similar systems (including data and related documentation), owned or licensed by Bart, including those set forth on Schedule 2.1(d);
• Bart’s interests in any Confidentiality Agreements;
• Subject to Section 2.2(k), the Lease and the Leased Real Property;
• To the extent transferable, all rights in all warranties of any manufacturer or vendor in connection with the Personal Property;
• To the extent transferable and otherwise permitted by applicable legal requirements, all personnel records of any employee or former employee of Bart, including the\ Business Employees; and
• All other assets set forth on Schedule 2.1(h).
