Medical Device and Related Intellectual Property Developing Business

Sale of substantially all of the tangible assets and intellectual property associated with its development and manufacturing services of Nimbus Concepts, LLC. The Sale Assets include personal property of company, Intellectual Property, regulatory approvals, existing customer contracts, and manufacturing equipment and tooling. The Sale Assets are described below:

• All tangible personal property of Compnay, including, but not limited to, all machinery, manufacturing equipment, fixtures, tooling and other equipment identified on the attached Exhibit “A.”
• All intellectual property of Seller, including, but not limited to, all items identified on the attached Exhibit “B.”
• All products, product rights, registrations, filings, regulatory approvals, communications with regulatory authorities worldwide concerning the products, and records or other materials required by regulation to secure or maintain approval of the products, to the extent each is transferable, including, but not limited to, each item identified on the attached Exhibit “C.”
• The names, addresses, and contact information of all customers and all related customer histories in Seller’s possession or which could be obtained by Seller using commercially reasonable efforts.
• All existing customer contracts, executory contracts, and unexpired leases, as identified on the attached Exhibit “D”.
• The names, addresses, and contact information of all distributors, suppliers, and subcontractors in Seller’s possession or which could be obtained by Seller using commercially reasonable efforts.
