Sale of assets of Sasco Hill Brands LLC includes:

• all cash and cash equivalents;
• all accounts or notes receivable held by any Seller, and any security, claim, remedy or other right related to any of the foregoing;
• all inventory, finished goods, raw materials, work in progress, packaging, supplies, parts and other inventories;
• all Assumed Contracts;
• all Intellectual Property;
• all stock, partnership interests, limited liability company interests and other equity interests in any other entities (including without limitation Holding's equity interests in each other Seller) and
• all goodwill and the going concern value of the Business
