Hotel and Related Assets in Florida

Sale of the Hotel and all related personal property of Heritage Hotel Associates, LLC, and more described as below:

• 234 3rd Ave N St. Petersburg, FL 33701: Hotel property known as the Indigo Hotel located in St. Petersburg, Florida, together with all buildings and other improvements that are located thereon, including, without limitation, 76 rooms, all elevators, heating, ventilating and air-conditioning systems and equipment, fixtures, electrical equipment, fire prevention and extinguishing apparatus located therein (collectively the "Hotel");
• Personal Property: The following personal property: (a) all furniture, furnishings, fixtures, systems, apparatus, building materials and components, motor vehicles, rugs, mats, carpeting, appliances, devices, computer servers, terminals, routers and other computer hardware, telephone and other communications equipment, televisions and other video equipment, plumbing fixtures and other equipment located in or related to the Property, including property described in the Equipment Leases (the "FF&E"); (b) all items included within the definition of "Property and Equipment" under the Uniform System of Accounts for the Lodging Industry, Eleventh Revised Edition, 2014, as published by the American Hotel and Lodging Educational Institute (the "Uniform System of Accounts"}, including, without limitation, linen, china, glassware, tableware, uniforms and similar items, whether in use or held in stock for nature use, in connection with the operation of the Property, subject to such depletion and including such resupplies prior to the Closing Date as shall occur in the ordinary course of business (the "Fixed Asset Supplies"); (c) all "Inventories" as defined in the Uniform System of Accounts, such as provisions in storerooms, refrigerators, pantries, and kitchens, beverages in wine cellars and bars, other merchandise intended for sale or resale, fuel, mechanical supplies, stationery; guest supplies, maintenance and housekeeping supplies and other expensed supplies and similar items (the "Inventories"); (d) such funds and reserves established or maintained by Seller or the Existing Manager as are reasonably necessary for the day-to-day operation of the business of the Property, including, without limitation, amounts sufficient for the maintenance of change and petty cash funds, operating bank accounts, payrolls, prepaid expenses and funds required to maintain Inventories (the "Working Capital"); (f) all surveys, architectural, consulting and engineering blueprints, plans and specifications (together with the architects' certificates indicating that the Hotel has been completed in accordance therewith), drawings and reports related to the Property, certificate of occupancy, all books and records (financial and otherwise), subject to future access by Seller for the purpose of any required disclosures, all telephone numbers, all customer and guest lists, profiles and information and any goodwill of Seller; (g) all trademarks, tradenames, service marks, domain names, design rights, websites, copyrights, software, patents, trade secrets and other intellectual property (including licenses to use the same) used in connection with the operation of the Hotel, to the extent that the same are transferable; and (h) any and all other items of personality located on, or used in connection with the operation of, the Hotel (collectively, the "Personal Property" and together with the Hotel, the "Property").
