Commercial Research Laboratory Business in California

Sale of operational assets of BioCeryx, Inc, which include inventory, furniture, fixtures and equipment used in connection with the operation of the seller's business, intangible property rights, including intellectual property (litigation rights related thereto), policies, procedures, and research, including the assumption and assignment of any licenses or other agreements necessary to convey such property, any and all potential supplier lists, and any and all application systems and software, including computer software, programs and source discs, and any related assets required to support the Operational Assets, and more described as below:

• The seller's inventory of approximately 1,000 Pregnant Plasma samples in 2-4 4 mL aliquots that have been Fetal Karyotyped;
• General office furniture, laboratory equipment, office equipment, including all computer equipment and communication systems equipment and software, and more described in Exhibit B from Page No. 15-16 on the attached PDF.
• The estate’s rights to the “SRI License to Technology developed for USG,” as listed in the seller's bankruptcy schedule (including any amendments thereto);
• Ligation NIPT Assay Protocols, Formulations, Loci and SOPs and Multiplexed NIPT Assay Protocols, Formulations, Loci and SOPs; and
• The following patents/applications: a. Blood Transfer Device and Methods Thereof (15/993,235); b. Apparatuses and Methods for Assessing Target Sequence Number (15/952,962); c. Apparatuses and Methods for Sample Specific Self Configuration (16/039,969); d. BIOCERYX - Registration/Application No. 87855497, 03/29/2018; e. Logo - Registration/Application No. 87855545, 03/29/2018; f. VENTURI - Registration/Application No. 88374091, 04/05/2019; and g. Any litigation claims / defenses concerning the above.
• Various biochemical components and laboratory consumables used in development.
