Assets of Veterinary Services Business

Sale of assets of Dodge City Veterinary Hospital, Inc., including all right, title, and interest in, to, and under all of the assets, properties, and rights of every kind and nature, whether personal tangible or intangible (including goodwill), wherever located, and whether now existing or hereafter acquired, that relate to, or are used or held for use in connection with, Dodge City Veterinary Hospital, Inc. (collectively, the "Purchased Assets"), including the following:

• All accounts or notes receivable held by Dodge City Veterinary Hospital, Inc. ("Business") or otherwise arising from the sale of goods or the rendering of services by the Business, and any security, claim, remedy, or other right related to any of the foregoing ("Accounts Receivable");
• All inventory;
• All intellectual property assets, including all of the Business' right, title, and interest in, to, and under any name the business operates under;
• All furniture, trade fixtures, equipment, machinery, tools, office equipment, veterinary equipment, medical instruments, cages and other equipment, supplies, computers, telephones, and other tangible personal property;
• All permits that are held by Business and required for the conduct of the Business or for the ownership and use of the Purchased Assets but only to the extent such permits may be transferred to Business under applicable law;
• All rights to any actions of any nature available to or being pursued by the Business, or the Purchased Assets, whether arising by way of counterclaim or otherwise;
• All rights under warranties and indemnities and all similar rights against third parties to the extent related to the Business, or the Purchased Assets;
• Originals or, where not available, copies of all books and records of the Business, including books of account, ledgers and general, financial, and accounting records, machinery and equipment maintenance files, manuals, price lists, distribution lists, supplier lists, production data, quality control records and procedures, client and patient records, client and customer lists, client and customer purchasing histories, and similar or related records, client and customer complaints and inquiry files, research and development files, records and data (including all correspondence with any governmental authority), sales material and records (including pricing history, \ total sales, terms and conditions of sale, and sales and pricing policies and practices), strategic plans, internal financial statements, employment records, standard operating procedures, and marketing and promotional surveys;
• All telephone numbers used or held for use in connection with the Business all fax numbers used or held for use in connection with the Business, and all e-mail addresses used or held for use in connection with the Business; and
• All goodwill and the going concern value of the Business.
