Assets of Truckload Shipping Company

Sale of assets of Celadon Group, Inc. which includes:

1. 100% of the outstanding shares of capital stock of Celadon Mexicana and Servicios de Transportación.
2. at the Purchaser’s direction, some or substantially all of the assets (including Leasing Servicios’ 0.04% equity stake in Celadon Mexicana) of Leasing Servicios, Jaguar and Servicios Corporativos
3. all tractors, trailers, equipment, and other personal property that is owned by Celadon and situated in Mexico as of the date of any definitive asset purchase agreement (the “Mexican Domiciled US Assets”); and
4. any and all assets used in connection with the Acquired Mexican Entities’ operations, including intellectual property, know-how, information technology, logistics, servers and customer lists that is owned by the Sellers and situated anywhere (“Acquired Mexican Entities’ Related Operational Assets”).
