Assets of Sporting Goods Store Business

Sale of substantially all of the assets of the The Tennis & Golf Company, including all tangible assets, inventory, customer names and lists, intellectual property, and the goodwill and going concern of the seller, and more described as below:

• All tangible assets and personal property, including all machinery, equipment, furniture, fixtures, computers, telephones, electronic devices and software;
• All inventory;
• All customer names, customer lists and related files;
• All trade names, domain names, marks and other intellectual property, including the name “The Tennis & Golf Company” and the domain names and social media accounts listed on Schedule 1.1(d) of the Asset Purchase Agreement;
• All catalogues, vendor price lists, vendor agreements, vendor marketing and merchandise materials and any other vendor documentation;
• All telephone and facsimile numbers; and
• The goodwill and going concern value of the business.
