Assets of Restaurants Business

Sale of substantially all of assets of Texaz Plaza Restaurant, LLC, Texaz Crossroads, LLC, and Texaz Table Restaurant of KS, LLC (collectively, the “Sellers”), including all of Seller's right, title and interest in and to the following assets (collectively, the "Assets"):

• All of the Sellers’ furniture, fixtures, leasehold improvements, equipment, the Gram & Dun catering van, supplies, computer hardware, printers, phone systems, other office equipment, wherever located (the "Fixed Assets");
• All of the Sellers’ inventory of food items, alcohol, and other saleable goods on hand at Closing, (the "Inventory").
• All of the Sellers’ right, title and interest in, and all goodwill associated with, the corporate names "Gram & Dun", "Cherry Hall", and "Urban Table", together with any and all catering or event contracts, even if inadvertently entered into in the name of Bread & Butter Catering, all logos and slogans associated therewith and any names derived from or bearing a resemblance thereto, and any other trademarks, trade names, service marks or other trade rights used or useful in the Business, including any goodwill associated with the trade name of "Bread & Butter" or ‘Bread &B Butter Catering” (collectively, the "Trade Rights"). Further, Sellers and their principals agree that from the effective date of this Agreement, they shall cease the use of the trade names “Bread & Butter” and “Bread and Butter Catering” for any and all purposes, including but not limited to marketing and promotional materials, for any entities currently existing or to be created in the future in which they hold any legal or equitable interest, except to advertise that any existing Bread & Butter Gift Cards purchased prior to closing are valid at Stock Hill only;
• All right, title and interest in and to all licenses, goodwill, web addresses, websites, website content (excluding any personal information of Sellers), domain names, proprietary information, trade secrets, know-how, manuals, instructions, recipes, customer lists, CRM email databases, social media/email serve lists, tradenames, trademarks, copyrights, transferable software, source code and similarly situated intellectual property related to the Assets or Business (the "Intellectual Property"), and any other intangible assets of Sellers used in the Business as well as the goodwill associated with the Business; and
• All assignable rights, titles and interests of the Sellers in, to and under all licenses, permits, approvals and certificates related to the operation of the Assets or Business (the "Permits").
