Auction Sale of assets of UniEnergy Technologies LLC (the “Seller”), including all right, title and interest in and to all of Seller’s:

• All Equipment;
• All General Intangibles;
• All Inventory;
• All other Goods and personal property of Debtor, whether tangible or intangible and whether now or hereafter owned or existing, leased, consigned by or to, or acquired by seller, wherever located, including but not limited to the locations identified as (i) 4809 Airport Way South, Seattle, WA 98108 (the “Airport Way Location”), (ii) three storage units located at 12320 Mukilteo Speedway, Mukilteo, WA known as Unit F301, Unit F310 and Unit H378 (collectively the Packrat Locations”), (iii) Bushveld’s premises at Vanchem at Ferrobank, Van Eck Dr, Witbank, Emalahleni, 1034, Mpumalanga Province, South Africa, and (iv) the Eskom Facility Megawatt Park Maxwell Drive Sunninghill, Johannesburg, Gauteng Province, South Africa;
• All Intellectual Property of Debtor;
• All Records related to the Acquired Assets;
• All goodwill associated with the Business or the Acquired Assets;
• All Assumed Executory Contracts; and
• All Proceeds of each of the foregoing and all accessions to, substitutions and replacements for, and rents, profits and products of each of the foregoing (collectively the "Acquired Assets”).
