Assets of Real Estate Development Business

Auction Sale of assets of George Washington Bridge Bus Station Development Venture LLC, including all of Seller’s right, title and interest in, to and under those leases and other contracts relating to the operation, maintenance and/or management of the Property set forth on Schedule 2, attached hereto and incorporated herein by reference (the “Assumed Contracts”). As used herein, the “Property” means all right, title and interest of Seller in and to (a) the Ground Lease and the leasehold estate of Seller thereunder in and to the Leased Premises and all improvements, structures and fixtures located upon the Leased Premises (collectively, the “Improvements”; which, together with the Leased Premises, shall be herein referred to as the “Real Property”), and (b) all of the equipment, machinery, and other items of tangible personal property, now owned or hereafter acquired by Seller and associated with the ownership, operation or maintenance of the Real Property, if any, and situated on or at the Real Property on the Closing Date (collectively, the “Personal Property”), and more described in Exhibits A and B from on the attached PDF.
