Assets of Real Estate Business

Sale of all assets of THE DOUBLE D GROUP, LLC which includes:

1. all buildings, structures, fixtures and other improvements of every kind and nature presently situated on, in, under or about the Property,
2. all easements, rights of way, benefits and appurtenances running with the described Property,
3. all of Seller’s right, title and interest, if any, in any land (and related improvements) lying in any street, road or avenue in front of or adjacent to, or adjoining, the described Property,
4. Seller’s water rights associated with the described Property, including any rights to water shares currently held for the benefit of Seller related to the described Property to the extent required by the City, County or other Land Use Authority for the future entitlement and development thereof,
5. all of Seller’s right, title and interest, if any, in and to all mineral and subsurface rights of any kind whatsoever related or appm1enant to the described Property, and
6. all Seller’s existing claims and claims that may hereafter arise related to Seller’s ownership and use of the described Property, together with all easements, rights of way, and appurtenances running with or pertaining thereto
