Assets of Radio Communication Products Business

Sale of substantially all of assets of Hytera Communications America (West), Inc. (“Hytera West”), Hytera America Incorporated (“Hytera East”), and HYT North America, Inc. (“HYT North America”) (collectively, the “Sellers”). The sale assets including all of the sellers, other than inventory and contracts relating to the Accused Products, including, but not limited to, certain accounts receivable, cash (other than the Cash Payment), inventory relating to products other than the Accused Products, deposits (including retainers after payment of professional fees), furniture and equipment, intellectual property, the Purchased Contracts, books and records, permits, supplies, insurance policies (excluding directors and officers or fiduciary insurance policies), goodwill, tax refunds, and causes of action relating to the Purchased Assets.
