Assets of Private Jet Charter Company

Auction Sale of substantially all of assets of Superior Air Charter, LLC (“Seller”), including all of the Seller's tangible, intangible and other asset, which includes all of the Collateral (as defined in the DIP Credit Agreement) and other Property (as defined in the DIP Credit Agreement) and other assets of the Seller's estate, including, without limitation, all aircraft beneficially owned by the Seller (aircraft bearing FAA Registration Nos. N574JS, N581JS and N583JS (which N583JS aircraft is encumbered by secured debt of $258,320)), the Seller's air carrier certificate, and any and all avoidance actions arising under Chapter 5 of the Bankruptcy Code and applicable state law, along with any other cause of action owned by the Seller and/or its estate (collectively, the “Bankruptcy and State Law Causes of Action”), and any proceeds of any of the foregoing, along with the Designated Agreements (as such term is defined in the Bidding Procedures Order), and all rights including intellectual property rights, trade secrets, customer lists, domain names, books and records, software and other assets owned by the Seller.

The Seller was founded in 2009 and operated a charter air carrier throughout the United States. Throughout its history, the Debtor has provided more than 111,000 flights and has enjoyed a nearly impeccable safety record, a reputation for good pilots and management, and overall reliability and service among its customers. At one time, the Debtor maintained a fleet of eighteen planes, although at present, the fleet stands at four (three wholly or partially owned, one leased).
