Assets of Pharmacy Business

Sale of substantially all of the assets of the King's Daughters Pharmacy, LLC (hereinafter referred to as the "seller") which is a seller in a bankruptcy proceeding jointly administered in cases styled Little River Healthcare Holdings, LLC. The sale assets including all of seller's interests in any assets utilized in its pharmacy business located in Suite 101 at 1905 SW H K Dodgen Loop, Temple, TX ("Business"), including, without limitation, the following:

• All tangible business and personal property (whether owned or leased by seller) utitized by seller in the Business, including all equipment, the 2003 Mazda Protege/VlN# lMlBl225X30l22427 (the "Mazda"), fixtures, furniture, furnishings and machinery physically located in Suite 101 at 1905 SW H K Dodgen Loop, Temple, TX 76502 including but not limited to items specifically Iisted in Exhibit "A" on the attached PDF;
• All accounts, notes, interests and other receivables of seller arising from individual credit accounts, and all claims, rights and proceeds including any uncashed checks from individuals relating to their credit accounts, whether billed and unbilled, recorded or unrecorded;
• All of the seller's pharmacy inventory, including all pharmaceutical products used in the Business;
• All of seller's supplies, goods and inventories of all replacement, spare parts and supplies used in the Business;
• All books and records, including books of account, ledgers, and general, financial, and accounting records, machinery and equipment maintenance files, postal records, customer and vendor lists, purchasing histories, price lists, distribution lists, supplier lists, quality control records and procedures, customer complaints and inquiry' files utilized in the Business;
• All personnel records and other records pertaining to the employees of the Business including, but not limited to. employment agreements, compensation, vacation accruals and other benefits;
• All rights and benefits of seller under any manufacturer's, merchant's, repairmen's or other third-party warranties, guaranties and service or replacement programs relating to the Business;
• All computer hardware and software associated with the Business including the assignment of the license agreement with Liberty Software. Inc.;
• To the extent permissible under otherwise applicable state and federal law, the rights to use any and all pharmacy-related licenses and registrations of the Debtor necessary to continue the pharmacy's operations for 90-days beginning at the Closing;
• All intellectual property rights of Debtor including the name of King's Daughters Pharmacy, trade names, trademarks and service marks (or variations thereof) associated with or owned by the Seller, but the name Little River Healthcare Pharmacy is specifically excluded;
• All rights of Seller to the telephone number 254-778-1731 and facsimile number 254-791-2266. utilized by Seller in connection with the operation of the Business; and
• All goodwill and other intangible assets relating solely and exclusively to the Business or the purchased assets.
