Assets of Pasta Manufacturing and Distributing Business

Sale of substantially all of assets of the Good Noodles Inc., the seller was originally formed in 2011 as a New York limited liability company under the name “Sfoglini LLC”. The sale assets described as below:

• Any or all inventories of finished goods, ingredients, and packaging materials on hand at Closing;
• All storage or manufacturing equipment;
• Customer contracts, relationships and lists;
• Contracts with suppliers and distributors;
• All of the seller's Intellectual Property, Domain Names, Media Handles and Confidential Information;
• All customer information obtained from the Domain Names and maintained by seller in the ordinary course of business, excluding any information the disclosure or transfer of which to Purchaser or a third party would be prohibited by applicable law;
• All right, title and interest in any or all unfilled purchase orders pending at the Closing that were entered into in the ordinary course of business;
• All Permits and pending applications therefor, in each case to the extent assignable;
• All electronic mail addresses, telephone, telex and telephone facsimile numbers and other directory listings used in connection with the Business and/or owned by seller, to the extent assignable under applicable law;
• All intangible assets associated with the business, including customer, registry and supplier lists, customer contact information, email lists and other address
• lists relating to the Business (whether paper, electronic or otherwise with all available contact information);
• All goodwill associated with the Purchased Assets including the goodwill associated with the Intellectual Property owned by Debtor;
• Subject to the adjustments set forth in Section 3.5 of the APA, cash, cash equivalents and accounts receivable; and
• The lease agreement for the premises known as the Green Business and Technology Park dated as of October 3, 2017.
