Sale of assets used by Roma USA, LLC in its business located at 3555 Atlanta Industrial Pkwy, Atlanta, Georgia 30331. The sale assets including all of the Seller’s assignable interest in and to the following Asset: (i) cash, deposits, bank accounts, certificates of deposit, securities or evidences of indebtedness to Seller, (ii) corporate or trade names of Seller, (iii) (iii) accounts receivable and other amounts owed from customers of Seller to Seller, (iv) equipment, tooling, materials, spare parts, equipment manuals, (v) real estate leases, (vi) computer hardware and operating systems software, (vii) intellectual property, formulas, manufacturing processes, patents and trademarks, (viii) intangible assets (including employee knowledge base, relationships, and client programs), and (ix) other personal property used in the Business of Seller, including, without limitation, the specific property set forth in Schedule 1.1 hereto and incorporated herein by reference.
