Auction Sale of substantially all of assets of Sable Permian Resources, LLC and SPR Stock Holdings, LLC (collectively, the “Sellers”). The sellers are an oil and natural gas company focused on the acquisition, development, exploration and production of unconventional oil, natural gas, and natural gas liquid reserves in the Permian Basin of West Texas. The sellers operate an “upstream business” within the oil and gas industry, with activities that are focused on oil and gas development in the Wolfcamp Shale play in the southern Midland Basin area within the Permian Basin. The majority of the sellers net acreage position overlays some of the thickest deposits of the Wolfcamp Shale play, which contains substantial recoverable oil and natural gas reserves, which the sellers believe exhibit repeatable, long-lived production profiles.
