Sale of assets of ESSI, LLC All of Seller's right, title, and interest in and to all of the properties, assets and rights of every nature, kind and description, whether tangible or intangible, real, personal or mixed, accrued, contingent or otherwise (including goodwill), wherever located and whether now existing or hereinafter (but prior to the Closing Date) acquired, related to, used, held for use or intended to be used in connection with the Business, directly or indirectly, by Seller, other than any Retained Assets.
