Assets of Minnesota Publishing House

Sale of assets of Tiger Oak Media, Incorporated includes:

1. all physical and digital inventory of the Seattle Media Titles (current and past issues) including the inventory described and set forth on Schedule 2.1 of the APA;
2. all of Seller’s rights under any Assumed Contract expressly assumed by Buyer pursuant to Section 2.5 of the APA;
3. all Intellectual Property used to produce or publish a Seattle Media Title, including the Intellectual Property described in Schedule 2.1 of the APA including all documentation relating thereto, all rights thereunder, and all goodwill associated therewith;
4. all Customer Data and all other data, books, records and other materials and documentation, whether in tangible or intangible form directly relating to the Seattle Media Properties;
5. all other personal property specifically described on Schedule 2.1 of the APA; and
6. all deposits and prepaid charges and expenses (including prepaid royalties, customer deposits and security deposits for rent, utilities and otherwise) related to the Assumed Contracts or other Purchased Assets, including those expressly set forth on Schedule 2.1(f) of the APA.
