Assets of Medical Equipment Business

Auction Sale of substantially all of assets of OptiScan Biomedical Corporation (the “Seller”). The seller's primary assets are the seller's intellectual property relating to automated monitoring systems, including, but not limited to: the intellectual property rights to (a) the seller's lead product, the OptiScanner® 5000, a first-of-its-kind automated, bedside glucose monitoring system that measures values directly from plasma using spectroscopy technology without the need for calibration; (b) the OptiScanner® 6000, which allows for the detection of additional metabolic and hemodynamic analytes within the same blood sample; and (c) the OptiScanner® 7000, which monitors and gauges glucose trends, lactate, and central venous oxygen saturation levels from a single micro-sample of a patient’s blood. The seller also owns valuable inventory, equipment, and other property related to the seller's operations.
