Assets of Internet Services Business

Sale of assets of Lakeway Publishers, Inc (the “Seller”). Seller is the owner and operator of a business, which provides residential and business internet services over wireless broadband system through network of broadcast towers. The sale assets used or useful in connection with the Business as follows:

• Seller’s rights in and to the licenses, permits and other authorizations issued to Seller by any governmental authority and used in the conduct of the business and operation of the Business;
• The equipment, inventory, spare parts and other tangible personal property owned or held by Seller and used in the conduct of the Business as listed in Schedule1.2(b), together with any replacements thereof and additions thereto, made between the date hereof and the Closing Date.
• Subject to the provisions of Article 3 hereof, all of Seller’s rights under and interest in those Contracts on Schedule 1.2(c), (collectively, the “Assumed Contracts”):
• All of Seller’s rights in and to the trademarks, trade names, service marks, franchises, copyrights, Internet domain names, including registrations and applications for registration of any of them, licenses, permits and privileges owned by Seller and used in the conduct of the Business (the “Intellectual Property”). .
• All files, records and books of account, relating to the Business, consisting of invoices, statements, technical information, sales correspondence and copies of all written Contracts to be assigned hereunder (collectively the “Business Records”);
• All rights under manufacturers’ and vendors’ warranties as exist at Closing and which relate to any of the Business Assets, as defined herein.
• The telephone number 423—-581-2100. Seller shall change the Ultranet option on the phone system auto-attendant for the LogOn general number to a message to be chosen by Buyer and calls to Ultranet shall be directed to the above telephone number, This will remain in effect for three (3) months from the Closing Date.
