Assets of Insurance Brokerage Business

Sale of assets of Orange County Insurance Brokerage, Inc., d/b/a Beaty Insurance, ("Seller") operates an insurance brokerage business. Its primary business asset is most commonly described as the Book of Business (“Book”). The sale assets described as below:

• Assignment of any and all commissions, fees and bonuses received on or after date of closing;
• Assignment of any and all Goodwill in Orange County Insurance Brokerage, Inc., d/b/a Beaty Insurance;
• Seller’s interest in intellectual property associated with the Business, including trademarks, trade names (including, without limitation, the trade name “Beaty Insurance Agency”, service marks and logos (including registrations and applications for registration of any of them) and all copyrights (including any registrations and applications for registration of any copyright) now or previously used by Seller in connection with the business;
• Complete Customer List, including but not limited to the names, contact information and insurance policy information for all of the Seller’s existing customers;
• Complete list of existing contracts Seller has with insurance carriers including marketing representatives’ names, phone numbers, fax numbers and email addresses, along with necessary producer codes, agency codes and passwords. Seller shall further provide copies of such contracts;
• Use of all agent codes associated with Orange County Insurance Brokerage, Inc., d/b/a Beaty Insurance to conduct business until such agent codes have been assigned by the carrier(s) to the Buyer or the carrier(s) have issued new agent codes to the Buyer;
