Auction Sale of assets of the Pineville Community Hospital Association, Inc. (the “Seller”). The Sale Assets consist of:

(i) Real Estate:

  • Real estate and improvements at 850 Riverview Avenue, Pineville, Kentucky (PVA Map No. 075-20-00-005.00) on which a licensed acute care hospital and skilled nursing facility is located (the "Hospital Building");
  • Parking lot located at 850 Riverview Avenue, Pineville, Kentucky (PVA Map No. . 075-20-00-001.00) ("Parking Lot 1");
  • A parking lot located at 850 Riverview Avenue, Pineville, Kentucky (PVA Map No. . 075-20-00-002.00) ("Parking Lot 2") (Parking Lots Nos. 1 and 2 are collectively referred to as ("Hospital Parking Lots");
  • Real estate and improvements located at 121 Virginia Road, Pineville, Kentucky (PVA Map No. . 075-23-01-006.00), on which a licensed Rural Health Care clinic is located (known as "Total Care RHC Building" and referred to herein as "RHC Building");
  • Parking lot located on Walnut Street, Pineville, Kentucky (PVA Map No. 075-23-01-009.00) ("RCH Parking Lot");
  • House located 111 Valley Road, Pineville, Kentucky ("Valley Road Property");
  • House located at 115 Valley Road, Pineville, Kentucky) ("115 Valley Road");
  • Any leasehold interests in any real property in which the seller is the tenant (the Hospital Building, the Hospital Parking Lots, the RHC Building, the RCH Parking Lot, 111 Valley Road, 115 Valley Road, and any leasehold estates are collectively referred to as "Real Property"); and
  • Small, vacant lot on U.S. 25E, Pineville, Bell County, Kentucky 40977 (PVA Map No. 062-40-00-010.00)("Vacant Lot")(collectively, the "Real Property").

(ii) The tangible personal property consists generally of all tangible personal property, including but not limited to, all equipment, medical equipment, furniture, machinery, computer hardware and other data processing equipment, vehicles, office furnishings, instruments, fixtures, leasehold improvements (the "Personal Property").
(iii) To extent transferable under state law, or any other laws applicable, the Trustee will transfer all rights, title and interest in and to all certificate of needs, licenses and certificates. The Personal Property, Real Property and CONs and Licenses are collectively referred to herein as "Assets" or "Sale Assets."
