Assets of Home Health Care Services Business

Sale of substantially all of assets of the Quality Sleep Solutions, Inc. a New Mexico Profit corporation, including all of the Seller's right, title and interest in and to certain of the Seller's assets (hereinafter referred to as the "Assets"):

• All machinery, equipment, tools, furniture, furnishings, leasehold improvements, goods and other tangible personal property listed on Exhibit A attached hereto and incorporated herein by reference, including unexpired maintenance or service contracts on said assets to the extent transferable or assignable;
• All office and other supplies, described in Exhibit A on the attached PDF;
• All inventory described in Exhibit A on the attached PDF;
• originals or copies (as appropriate) of all of Sellers records relating lo or otherwise used in connection with Seller's customers or clients, including but not limited to all existing patient records, customer contracts and customer accounts, as permitted under the provisions of the Health Insurance Portability and Accountability Act of 1996,42 U.S.C. §1320d et seq.;
• The trade name "Quality Sleep Solutions" and all trademarks and goodwill associated therewith:
• Seller's intellectual property, copyright, content, graphics and systems located at and comprising the website at http://www.qualitysleepsolutions.com, including any account information located at FaceBook.com, Google-K Twitter and any other third-party websile referencing the website located athttp://www.qualitysleepsolutions.com;
• All telephone numbers formerly used by Seller in the operation of its business including, but not limited to, (505) 891-3344; and
• All other assets of Seller.
