Assets of Home Health Care Equipment Supplies and Services Business

Sale of assets of Personal Support Medical Suppliers, Inc., consisting of CCP Stock, Personal Support Assets and Accounts Receivable, and more described as below:

• CCP Stock for $25,000.00: The seller owns 100% of the equity interests of CCP;
• Accounts Receivable: The seller owns certain accounts receivable; and
• Personal Support Assets for $100,000.00: The assets of Seller that will be acquired by Buyer (the "Acquired Assets") shall consist of the following:

1. All inventory of durable medical equipment, home medical equipment, medical supplies, respiratory therapy equipment, and other items currently in use by patients serviced by the DME Business, including, without limitation, any rental equipment (the "Inventory"), and all associated warranties and service agreements or rights related thereto;
2. All of Seller's right, title and interest in and to all contracts to which Seller is a party and to the extent involving the DME Business, and all records, files and other information related thereto, along with the current real estate leases for the operating locations of the Company. All such contracts shall be listed on a Schedule to be attached to the Asset Purchase Agreement (the "Assumed Contracts");
3. Copies of all records and patient files related to the DME Business patients ("Patients"), including (A) all clinical, billing, and associated documentation required for payment for DME equipment and any other items furnished to the Patients and (B) all data and other information maintained in Seller's billing system;
4. Copies of all of Seller's records, including electronic records, pertaining to the operation of the Business, including customer records and supplier records; and
5. Any assets of Seller not listed or described in the Definitive Agreements (the "Excluded Assets") shall be excluded from the Transaction.
