Assets of Healthcare Services Business

Sale of assets of Portland Injury Institute LLC (the “Seller”), which includes:

• All tangible personal property, including all furniture, fixtures, materials, office equipment, supplies, computers, and telephones owned by PII;
• All intangible property and assets owned by PII, including but not limited to intellectual property, Sellers' rights and entitlements related to Sellers' customers and patients and the economic benefit of the relationship with same, including accounts receivable, Seller’s past, current, and future causes of action against third parties, including but not limited to the bankruptcy trustee’s causes of action under the Bankruptcy Code, and all of Sellers' rights under warranties, indemnities and all similar rights against third parties to the extent related to any Purchased Assets; and
• Copies of all books and records pertaining to the Purchased Assets including, but not limited to, books of account, ledgers and general, financial and accounting records.
