Assets of Georgia Restaurant Business

Sale of substantially all of assets of the Star Chain, Inc. (“Star Chain” or “Additional Party”) and US Star 32, LLC (collectively, the “Sellers”). The seller operates a Checkers Drive-in Restaurant, Inc. (“Checkers”) franchise at 5801 Buford Highway, Doraville, Georgia. The sale assets including all right, title and interest of Seller in and to the following assets, properties and rights relating to the Business (the “Purchased Assets”):

• All rights of Seller and Star Chain under the Franchise Agreement;
• All rights of Seller and Star Chain under the Assigned Leases;
• All Inventory of Food & Paper items of $5,000.00 (difference to be paid within 7 days post-closing) per location.
• Reserved.
• All tangible personal property, including all machinery, equipment (including all transportation and office equipment), vehicles, computers, personal digital assistants, computer equipment, hardware, peripherals, information technology infrastructure, telephone systems, furniture, office supplies, production supplies, other miscellaneous supplies, and other tangible personal property of any kind owned by Seller, wherever located, including all such items which are located on the Acquired Premises;
• To the extent transferable pursuant to Section Error! Reference source not found. as of the Closing Date, all Permits from all permitting, licensing, accrediting and certifying agencies, and the rights to all data and records held by such permitting, licensing and certifying agencies, in each case, of Seller;
• All goodwill as a going concern and all other intangible property of Seller;
• All claims (and the proceeds of such claims) arising on or before the Closing relating to the Business including claims under Seller’s insurance policies; and
• All other assets, properties and rights of the Seller other than the Excluded Assets.
