Assets of General Engraving Services Company

Sale of assets of Things Remembered, Inc. which includes:

1. all properties, assets and rights (contractual or otherwise) of Sellers used in or relating to the Acquired Stores, and all properties, assets and rights (contractual or otherwise) of Sellers used in the Fulfillment Center, the e-Commerce Center, and HQ (excluding the Owned Real Property where HQ is located), including without limitation, the Customer Lists (other than those as may not be transferred under any applicable non-bankruptcy Law) ;
2. all Facility Leases of Sellers with respect to the Acquired Stores, the Fulfillment Center, and the e-Commerce Center set forth on Schedule 2.1(a)(ii); and
3. additional Acquired Assets as further set forth in Section 2.1.
