Assets of Frozen Fruits and Vegetables Business

Sale of assets of Cool Frootz, LLC, including the seller's copyrights, tradenames, and other intellectual property, including its manufacturing assembly line at the Salem, Oregon location, and other computers and equipment, and more described as below:

• Intangible and Intellectual Property: All owned intangible assets, including, but not limited to, any and all Intellectual Property (collectively, the “Intangible Property”). “Intellectual Property” means all intellectual property, including, but not limited to, (i) inventions, patents, patent applications, reissuances, divisions, continuations, continuations-in-part, extensions, renewals, substitutions and reexaminations, and all patents issuing on the foregoing; (ii) registered and unregistered trademarks, service marks, trade dress, logos, trade names and corporate names, and all goodwill associated therewith; (iii) works of authorship, copyrights and moral rights; (iv) databases, data compilations and data collections; (v) trade secrets and other confidential information, including, without limitation, ideas, discoveries, concepts, research and development, know-how, formulas, recipes, compositions, processes, techniques, technical data, designs, drawings, specifications, customer lists, supplier lists and business and marketing plans; (vi) domain names, web addresses and websites; (vii) owned computer software (including any and all software implementations of algorithms, models and methodologies), source code, object code, descriptions, flow-charts and other work product used to design, plan, organize and develop any of the foregoing, screens, user interfaces, report formats, firmware, development tools, templates, menus, buttons and icons, and data and documentation related to any of the foregoing; and (viii) applications, registrations and renewals in connection with any and all of the foregoing in subclauses (i) through (vii);
• Certain Tangible Personal Property: All owned (a) machinery and equipment, (b) spare parts, fittings, maintenance equipment, and tools relating to the assets described in the foregoing clause (a), and (c) signage relating the seller's business before commencement of the Bankruptcy Case; and
• Books, Records: All books, records and like items pertaining to the operation of the Debtor, including, but not limited to: (i) all plans, business plans, processes and specifications for the seller, (ii) all other reports and business records relating to the seller and the operation of the seller, (iii) customer and vendor lists, databases, (iv) advertising materials, and (v) all financial and accounting records.
