Assets of Food and Beverage Company

Sale of substantially all of assets of the Southern Foods Group, LLC., et al., ("Sellers"). The sellers are a leading public food and beverage company and the largest processor and direct-to-store distributor of fresh fluid milk and other dairy and dairy case products in the United States. The sellers manufacture, market, and distribute a wide variety of branded and private label dairy and dairy case products, including fluid milk, ice cream, cultured dairy products, creamers, ice cream mix, and other dairy products to retailers, distributors, foodservice outlets, educational institutions, and governmental entities across the United States. The sale assets consist of

• 44 of the sellers 57 manufacturing facilities, including real estate, inventory, equipment and all other assets necessary to operate such facilities;
• All fluid and frozen assets associated with such facilities;
• Certain real estate and equipment relating to one previously closed manufacturing facility;
• Certain intangible assets; and
• Ownership interest in the Organic Valley joint venture and Mexican subsidiaries.
