Assets of Florida Window Supplier

Sale of assets of Sunex International, Inc. which includes:

1. the tangible property identified on Schedule 2.1 (the “Tangible Personal Property”),
2. intangible personal property and other property identified on Schedule 2.1, (the “Intangible Personal Property”);
3. all proceeds and products of any and all of the Export Assets identified in Schedule 2.1;
4. all books and records of the Export Business;
5. causes of action, claims, and demands of whatever nature with respect to the Export Assets; and
6. the exclusive right to use the Trade Names and Rights “Sunex International”, trademark, service mark, and the logo of the Export Business in the Export Territory identified in Schedule 2.1(f).
