Assets of Drilling Rig Manufacturing Business

Sale of assets of Loadcraft Industries, Ltd. (the “Seller”) which includes: (a) all furniture, fixtures, equipment, appliances, machinery, tools, office equipment, and other tangible personal property assets listed on Schedule 2.01(a) (“Tangible Personal Property”), and all of Seller’s rights under warranties, indemnities and all similar rights against third parties to the extent related to any Tangible Personal Property; and (b) the Intellectual Property Rights listed on Schedule 2.01(b) (the “Transferred Intellectual Property Rights”) and all of Seller’s rights under warranties, indemnities and all similar rights against third parties to the extent related to any Transferred Intellectual Property Rights.
